These Terms of Service ("Terms") govern your access to and use of the Runiuni website, web application, and related services (collectively, the "Services") operated by Our Communities United ("Company," "we," "us," or "our").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
Runiuni is a community platform that may allow users to:
- create accounts and profiles
- post content and interact with other users
- create/join groups and communities
- create, discover, and share events
- use direct messages ("DMs") and chat features
- connect third-party accounts using OAuth login/connection flows
- purchase subscriptions and ad-related products (as available)
We may add, remove, or modify features at any time.
2. Eligibility
You must be at least 18 years old to use the Services unless we explicitly allow otherwise in writing. By using the Services, you represent and warrant you meet eligibility requirements.
3. Account Registration and Security
You may need an account to access certain features. You agree to:
- provide accurate and complete information
- keep your credentials secure
- promptly notify us of unauthorized access or suspected security issues
You are responsible for all activity under your account, including actions taken by anyone who accesses your account.
4. Acceptable Use
You agree not to misuse the Services. Prohibited conduct includes (but is not limited to):
- violating any law or regulation
- harassment, threats, hate, or abusive conduct
- sexual exploitation or content involving minors
- posting illegal content or facilitating illegal activity
- impersonating others or misrepresenting affiliation
- attempting to access accounts or data you do not have permission to access
- uploading malware, running exploits, or disrupting the Services
- scraping, automated extraction, or crawling that burdens the platform (except as permitted by law or with our written consent)
- spamming, phishing, scams, or fraudulent activity
We may remove content or restrict access if we believe you violated these Terms or pose a risk to the platform or other users.
5. User Content (Posts, Messages, Events, Groups)
The Services may allow you to create, upload, send, or display content, including text, images, event listings, group content, and messages ("User Content").
5.1 You Own Your User Content
You retain ownership of your User Content.
5.2 License You Grant Us
To operate the Services, you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for formatting/display), distribute, publicly display, and perform your User Content solely to provide, operate, improve, and promote the Services.
This license ends when you delete your User Content, except:
- content may persist in backups for a limited time, and
- content shared with others (e.g., group posts) may remain visible if others have copied/reshared it where allowed.
5.3 You Are Responsible for Your Content
You represent and warrant that:
- you have the rights to post the content
- your content does not infringe intellectual property, privacy, or other rights
- your content complies with these Terms and applicable law
6. Moderation and Enforcement
We may (but are not obligated to) monitor or review User Content. We can remove content or restrict accounts at our discretion, including for:
- Terms violations
- safety, trust, or fraud prevention
- legal compliance
- protecting platform integrity
We may also preserve or disclose information if required by law or if we believe it is necessary to prevent harm, fraud, or abuse.
7. Direct Messages and Chats
DMs and chats are features for communication between users. You understand that:
- users may report messages
- we may take action on abusive or policy-violating behavior
- we may process messaging data as described in our Privacy Policy (for example, for abuse prevention, moderation tooling, or legal compliance)
8. Events, Groups, and Real-World Interactions
Runiuni may enable you to discover or organize events and communities. You acknowledge:
- events and groups may be created by users or third parties
- we do not control or guarantee event quality, safety, legality, or accuracy
- participation in real-world events is at your own risk
You are responsible for your conduct and for evaluating the safety of interactions and events.
9. Subscriptions, Paid Features, and Ads (Stripe)
Some features may require payment, including subscriptions and advertising products ("Paid Services").
9.1 Payment Processor
Payments are processed through third-party payment processors (e.g., Stripe). We do not store full payment card details on our servers. Your payments may be subject to the processor’s terms and policies.
9.2 Recurring Billing and Auto-Renewal
If you purchase a subscription, you authorize recurring charges until you cancel. Subscription fees are billed in advance (e.g., monthly/annually) depending on the plan.
9.3 Trials and Promotions
If you start a trial or discounted promotion, you may be charged automatically at the end of the trial/promo unless you cancel before it ends.
9.4 Cancellation
You can cancel subscriptions through your account settings (or the method we provide). Cancellation stops future renewals but does not retroactively refund already-paid periods unless required by law or explicitly stated at purchase.
9.5 Refunds
Refunds (if any) will be governed by the policy presented at checkout or within the product description. Certain purchases (including ad spend/credits already delivered or in-flight) may be non-refundable.
9.6 Taxes
You are responsible for applicable taxes unless otherwise stated.
9.7 Advertising Content Requirements
If you purchase ads or boosted placements:
- you must ensure ad content complies with these Terms and applicable laws
- we may reject, remove, pause, or restrict ads at our discretion (including for policy, quality, or safety reasons)
- we do not guarantee outcomes (impressions, clicks, conversions, revenue)
10. OAuth Connections and Third-Party Services
The Services may let you connect third-party accounts via OAuth (e.g., "Sign in with..." or "Connect..."). When you connect a third-party service:
- your use of that third-party service is governed by their terms and privacy policy
- we are not responsible for third-party outages, errors, or actions
- the data we receive (if any) depends on what you authorize and is handled per our Privacy Policy
11. Intellectual Property
The Services, including the platform code, design, logos, and branding, are owned by the Company or its licensors and are protected by intellectual property laws.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services (except where permitted by law) without our written permission.
12. Copyright Complaints (DMCA)
If you believe content on the Services infringes your copyright, contact us at contact@runi-uni.com with:
- identification of the copyrighted work
- where the allegedly infringing material appears (URL or identifying info)
- your contact information
- a good faith statement
- a statement under penalty of perjury that your claim is accurate
- your signature (typed is acceptable)
13. Privacy
Your use of the Services is also governed by our Privacy Policy at https://runiuni.com/privacy.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that content will be accurate or reliable.
15. Limitation of Liability
To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Services will not exceed the greater of:
- the amount you paid us in the 12 months before the event giving rise to the claim, or
- $100.
(Some jurisdictions do not allow certain limitations; in that case, limits apply to the fullest extent permitted.)
16. Indemnification
You agree to indemnify and hold harmless the Company from claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from:
- your use of the Services
- your User Content
- your violation of these Terms
- your violation of any rights of another person or entity
17. Termination
We may suspend or terminate your access at any time if we believe you violated these Terms, created risk, or for legal compliance.
You may stop using the Services at any time. Some obligations (e.g., payment obligations, indemnification, limitation of liability) survive termination.
18. Governing Law and Venue (Florida)
These Terms are governed by the laws of the State of Florida, without regard to conflict of law rules.
Unless prohibited by law, you agree that disputes will be brought in state or federal courts located in Florida, and you consent to personal jurisdiction there.
19. Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date when changes take effect. Your continued use of the Services after changes means you accept the updated Terms.
